JOINT STOCK COMMERCIAL MORTGAGE BANK "IPOTEKA BANK" AND ITS SUBSIDIARIES

JSCMB "Ipoteka-bank", located at the address: Tashkent, st. Shakhrisabz, building 30, announces an extraordinary general meeting of shareholders of the bank on July 7, 2023 at 1100 hours remotely using the electronic voting service.

Today, a press conference dedicated to the completion of the first stage of the official purchase of Ipoteka-bank by OTP bank was organized at the Intercontinental Hotel in Tashkent.

As the first foreign bank to participate in the privatization of the Uzbek banking sector, OTP Bank became the majority owner of the country’s fifth largest financial service provider, Ipoteka Bank. Today, the first step of the acquisition was completed: OTP Bank purchased 75% of the shares held by the Ministry of Economy and Finance of the Republic of Uzbekistan, the remaining 25% will be purchased in three years from now. Entering the Uzbek banking market opens a new chapter in the history of OTP Group, since Uzbekistan is the first country in the Central Asian region where the Group extends its footprint. Ipoteka Bank holds 7.6 percent market share in terms of assets, and a retail clientele of about 1.5 million. Customers of Ipoteka Bank do not need to do anything in connection with the ownership transfer.    

The general meeting of shareholders will be held using the electronic voting service "Electronic Voting - eVOTE" (http://evote.uz/), designed for remote meetings via the Internet online.

On May 24-26 this year in Budapest (Hungary), the ESG summit of the OTP group was held. It was attended by banks belonging to the OTP group, the Hungarian regulator and the responsible officer of the bank Abdusalomov Bakhtiyor from Ipoteka Bank, among other invited organizations.

On the 24th of January 2023, Moody’s international rating agency took rating actions on Uzbek banks. Particularly, according to the report Ipoteka-bank’s long-term foreign and local-currency deposit ratings were uplifted to “Ba3”, with a “Stable” outlook.

On the 15th of December 2022 Moody’s international rating agency announced Ipoteka-bank’s long-term foreign and local-currency deposit ratings. According to the report, Ipoteka-bank’s rating was maintained at “B1/B1”, with a “Positive” outlook.
